By accessing or using Defer ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.
Defer is a productivity tool that allows users to capture text content for later review. The Service uses artificial intelligence to process, classify, and summarise captured content. The Service includes a macOS menu bar application and a web-based dashboard. AI-generated summaries are provided for informational purposes and may not always be accurate or complete.
To use the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for extended periods.
You agree not to use the Service to: capture or process content that infringes on third-party intellectual property rights; store illegal, harmful, or offensive material; attempt to reverse engineer, hack, or compromise the Service; use automated systems to abuse the Service; or violate any applicable laws or regulations. We reserve the right to remove content and terminate accounts that violate these guidelines.
The Service, including its design, features, and underlying technology, is owned by Defer and protected by intellectual property laws. You retain ownership of the content you capture through the Service. By using the Service, you grant us a limited licence to process your content solely for the purpose of providing the Service. AI-generated summaries are provided as part of the Service and do not transfer any intellectual property rights.
Defer offers both free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice. If payment fails, we may suspend access to paid features until payment is resolved. You can cancel your subscription at any time through your account settings.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
The Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate. To the maximum extent permitted by law, Defer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
You agree to indemnify and hold harmless Defer, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; or any content you capture or store through the Service.
You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time for violations of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. We may retain certain information as required by law or for legitimate business purposes.
We may modify these Terms at any time by posting the revised terms on our website. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of England and Wales. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
